1. Acceptance of Terms
Welcome to AspectIQ. By accessing or using our website, cloud platform, AI-native automation engines, or associated enterprise services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree to these Terms, you may not access or use any part of our Services. We reserve the right to modify these Terms at any time, with updates taking effect immediately upon posting to this page.
2. Description of Services
AspectIQ provides an intelligent, AI-native test automation platform that automates test generation, execution, and auto-healing of selector targets across web, mobile, and API environments. The Services are offered as a Software-as-a-Service (SaaS) subscription, and availability may vary based on your selected service tier (Growth, Enterprise, or Strategic).
We continuously optimize and update our AI models, algorithms, and features. We reserve the right to modify, suspend, or discontinue any aspect of the Services at our discretion, with reasonable notice for major changes impacting enterprise contracts.
3. User Accounts & Security
To access the AspectIQ console and execute test suites, you must register for an account. You agree to provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and api keys, and you assume full responsibility for all activities occurring under your account.
You agree to notify us immediately of any unauthorized access, credential leaks, or security breaches. AspectIQ will not be liable for losses caused by unauthorized use of your credentials.
4. Intellectual Property
All rights, titles, and interests in the AspectIQ platform, including but not limited to the AI engines, proprietary heuristics, visual components, code templates, software, designs, and logos, are and will remain the exclusive property of AspectIQ Inc. and its licensors. You may not copy, reverse-engineer, modify, or distribute any part of our proprietary software.
AspectIQ does not claim ownership over the test scripts, application metadata, or execution logs generated by your teams during normal operations. You grant AspectIQ a limited license to analyze anonymized metadata solely to train and improve the self-healing AI model performance for your specific workspaces.
5. SaaS License & Restrictions
Subject to compliance with these Terms, AspectIQ grants you a non-exclusive, non-transferable, revocable license to access and use the platform during your subscription term. You agree NOT to:
- Use the Services to build a competitive test automation product or service.
- Bypass, disable, or circumvent security controls, rate limiting, or subscription boundaries.
- Use the AI engines to generate malicious payloads or execute denial-of-service tests on third-party targets without authorization.
- Share single-user seats or API keys across multiple non-registered individuals.
6. Billing, Payments & Subscriptions
Subscribing to AspectIQ involves recurring billing charges. All subscription plans (Growth, Enterprise, Strategic) are billed in advance on a monthly or annual basis, as specified in your order form. Payment obligations are non-cancelable, and payments are non-refundable except as explicitly stated in our SLA or enterprise contracts.
Failure to settle outstanding balances within 14 business days of the invoice due date may result in suspension of API access and temporary lock of your organization's workspaces.
7. Limitation of Liability
To the maximum extent permitted by law, AspectIQ Inc., its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, or goodwill, arising out of your use or inability to use the Services.
In no event will AspectIQ's total liability exceed the total amount paid by you to AspectIQ for the specific Services during the twelve (12) months preceding the claim event.
8. Governing Law
These Terms and any disputes arising from them will be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Wilmington, Delaware.
